Sadovaya Group S.A., a joint stock company under Luxembourg law, with registered office at 10, Boulevard de la Foire, L-1528 Luxembourg, registered in the Luxembourg Register of Companies under No. B 153.489, (the “Company”), hereby provides the following:

As the liquidity ratios characterizing the trading in Sadovaya Group S.A. shares are below the thresholds determined in the Resolution No. 502/2008 of the Warsaw Stock Exchange Management Board, on September 26, 2014 Warsaw Stock Exchange took the decision to classify the shares of Sadovaya Group S.A. to the Lower Liquidity zone beginning from September 30, 2014.

Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
