GIGROUP (GIG): Establishment of registered pledge - raport 16

The Management Board of Work Service S.A. (the “Issuer” or the “Company”), in reference to current reports no. 7/2018 of 30 March 2018, informs that on 16 May 2018 it received an information that the competent court has entered into the register of pledges of the following assets. Thus, the registered pledges were effectively established in the execution of Annex 2 to the Credit Agreement concluded between the Company and the Lenders (as defined in the current report No. 7/2018 of 30 March 2018):

1. on Issuer’s 599.999 ordinary registered shares A-series (from no A07000002 to no A07600000) in subsidiary - the Exact Systems S.A. of the value PLN 0,01 each and the total nominal value of PLN 59.999,99.

2. on Issuer’s 100 shares in subsidiary – the Work Service Investments sp. z o.o. of the value PLN 50,00 each and the total nominal value of PLN 5.000,00.

3. on Issuer’s 57.565 shares in subsidiary – the Work Service SPV sp. z o.o. of the value PLN 50,00 each and the total nominal value of PLN 2.878.250,00.

4. on Issuer’s 10.000 shares in subsidiary – the Industry Personnel Services sp. z o.o. of the value PLN 500,00 each and the total nominal value of PLN 5.000.000,00.

5. belonging to the Issuer of a bank account maintained by BANK BGŻ BNP Paribas S.A. on the basis of the Universal Bank Account Agreement as amended by Annex No. 1 7 of August 2012, concluded between the Issuer and Bank BGŻ BNP Paribas S.A.

As a result of the analysis carried out, the Issuer assumed that qualification of the above-mentioned information as confidential within understanding of Art. 17 sec. 1 MAR, subject to publication in the form of this report, is justified.

Legal basis: Article 17 sec. 1 MAR (Regulation No. 596/2014 of the European Parliament and of the Council (EU) of 16 April 2014 on market abuse (regulation on market abuse) and revoking Directive 2003/6/EC of the European Parliament and Council and of the Directive of the Commission 2003/124/EC, 2003/125/C and 2004/72/EC.)
