KERNEL (KER): INCREASE OF THE SHARE CAPITAL OF KERNEL HOLDING S.A. - raport 37

The Board of Directors of Kernel Holding S.A., a company with registered office in Luxembourg (the “the Company”) informs that the Company increased the Company’s share capital by an amount of USD 26,876.55 (twenty six thousand eight hundred seventy six US Dollars and fifty-five cents), by the issue of 1,017,820 (one million seventeen thousand eight hundred twenty) new Ordinary Shares without indication of a nominal value.

The increase of share capital was effected by way of a resolution of the Board of Directors, pursuant to authorization granted by article 5 of the Company’s Articles of Association, as amended by resolution of the extraordinary meeting of shareholders dated 10 December 2015, of which the Company informed in current report no 34/2015.

The newly issued shares have been subscribed by holders of stock options issued in connection with the Company’s management incentive plan of which the Company informed in current report no 42/2014. All newly issued shares have been paid up in cash.

As a result of the increase, the Company’s share capital is set at USD 2,130,996.66 divided into 80,701,230 shares without indication of nominal value, giving right to 80,701,230 votes at the General meeting of the Company.
