Pursuant to Art. 70.3 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to organized Trading, and Public Companies, Kernel Holding S.A. informs that the shareholders present at the Annual General Meeting of Shareholders held on 12 December 2016 at 15:00 CET at the Company’s registered office, 19 rue de Bitbourg, L-1273 Luxembourg, jointly held 44,510,482 shares out of total of 80,701,230 shares. The following entities named below were the shareholders representing at least 5% of the total votes during the meeting:

•Nationale-Nederlanden Otwarty Fundusz Emerytalny. The number of votes carried by the shares at the General Meeting: 4,200,000 equal to 9.4% votes present at the meeting and 5.3% of the total vote.

•Namsen Limited. The number of votes carried by the shares at the General Meeting: 31,345,878 equal to 70.4% votes present at the meeting and 39.3% of the total vote.
