(HB REAVIS FINANCE PL): Annoucement on entering into sale agreement - raport 14

In line with Terms and Conditions of the bonds issued by the Issuer (Series A, HBR1117, ISIN: PLHBRVF00018 and Series B, HBR1117, ISIN: PLHBRVF00026), the Management Board of HB REAVIS FINANCE PL Sp. z o.o. ("HBRF" or the "Issuer") hereby announces that in December 2014 the Subsidiary of HB Reavis Holding S.a.r.l. (the "Suretyship Provider") entered into a transaction with New Europe Property Investments Plc. (NEPI), a commercial property company listed on the Main Board of the Johannesburg Stock Exchange, the regulated market of the Bucharest Stock Exchange and the AIM market of the London Stock Exchange concerning the sale of group of assets located in Košice, Slovak Republic („Transaction“).

The Transaction value represents more than 10% of the Suretyship Provider’s Consolidated Assets as reported as of 30 June 2014 in accordance with International Financial Reporting Standards (“IFRS”).

The Transaction was concluded on arm‘s length terms with total value exceeding total sum of values as reported for these assets in consolidated financial statements of the Suretyship Provider as of 30 June 2014 for IFRS reporting purposes on the basis of fair market valuations prepared by independent valuers. The Transaction is pending approval of Slovak anti-monopoly authority.
