GIGROUP (GIG): Establishing a registered pledges on shares - raport 19

With reference to the current report no 10/2017 dated 31 January 2017, the Management Board of Work Service S.A. ("The Issuer" or "The Company") notifies on receiving on 10 March 2017 information on establishing of a registered pledge on 27.917 shares held by the Issuer, of a nominal value of PLN 500.00 each and the total nominal value of PLN 13.958.500 ("Shares"), representing 100% of the share capital in a major subsidiary of the Issuer - "Antal" Sp. z o. o. with its registered office in Wrocław ("Antal"). The registered pledge was established to the highest security in the amount of PLN 277.500.000. The registered value of the pledged shares in the accounting books is PLN 21.461.964,29.

The registered pledge was established by making a relevant entry in the Register of Pledges by the competent court following the decision dated 28 February 2017. Entry to the Registry of Pledges was made under the number 2523572.

Establishing of a registered pledge on the above-mentioned shares possessed by Work Service S.A. was made on the basis of the Registered Pledge Agreement and financial pledges on the shares in "Antal" Sp. z o.o. ("Agreement") concluded on 30 January 2017 between Work Service S.A. as the Pledgor and BANK BGŻ BNP Paribas S.A. ("Pledgee 1" or "Agent"), Bank Millenium S.A. ("Pledgee 2") and BANK ZACHODNI WBK S.A. ("Pledgee 3") REIFFEISEN BANK POLSKA S.A., ("Pledgee 4") hereinafter jointly referred to as: "Creditors" and Agent, as administrator of the pledge register to secure the payment of the monetary amounts resulting from the Credit Line Agreement, on the conclusion of which the Issuer had informed with the current report no 43/2015 on 19 November 2015.

According to the result of the analysis, the Issuer decided that it is reasonable to classify the above information as confidential information under art. 17 sec. 1 MAR which is subject to publication in the form of this report.
