PRESS RELEASE

UniCredit communicates that:

- Mr Manfred Bischoff, non-executive Director of the Company, resigned with effect as of June 1 st for personal reasons;

- Ms Helga Jung, non-executive Director of the Company, resigned today with immediate effect in relation to Allianz Group internal organizational reasons;

- Shareholder Allianz informed the Company about its intention to submit the candidacy of Mr Sergio Balbinot to the competent bodies of the Company in replacement of Ms Jung.

The Chairman of the Board of Directors, also on behalf of the CEO, his colleagues and the Statutory Auditors, expressed to the Directors Bischoff and Jung his hearty thanks for their contribution to date to the Board of Directors.

The Corporate Governance, HR and Nomination Committee and the Board of Directors, according to the Company’s rules and their respective competencies during the course of the next coming meetings, shall adopt the relevant resolutions in order to have the Company’s Board restored to its full membership.
