UniCredit successfully issued the inaugural Senior Non-Preferred Notes in Italy

UniCredit SpA has successfully issued today 5 year Senior Non-Preferred Notes for a total amount of EUR 1.5 billion targeted to institutional investors.

The bond represents the first transaction in Italy following the recent introduction of the new category of Senior Non-Preferred debt (called strumenti di debito chirografario di secondo livello), by means of the 2018 Italian Budget Law.

The transaction has been exceptionally well received and the book building process has allowed to gather a significant demand of circa EUR 4.5 billion from more than 250 high profile investors.

As a consequence, the spread guidance set initially in the high-80s area above 5 year mid-swap, has been tightened to 75 area and finally set equal to 70 bps.

The annual coupon has been set at 1.00% with an issue/re-offer price of 99.651%.

UniCredit S.p.A. has mandated ING, J.P. Morgan, Santander, SG CIB, UBS Investment Bank and UniCredit Bank AG to manage the placement acting as Joint Bookrunners.

The bond was distributed to different institutional investors' categories such as funds (67%), banks (18%) and insurance companies/pension funds (8%). The demand was driven by a wide geographical diversification with UK/Ireland (22%), France (20%), Italy (15%) and Germany/Austria (10%).

The positive market backdrop, and recognition of the on-going progress of the strategic plan “Transform 2019” has led to a significant repositioning of UniCredit credit profile among the European financial institutions, and the placement of this bond represents a further tangible achievement.

The bond is TLAC eligible and is part of the EUR6 billion issues of senior non-preferred foreseen in the Multi Year Funding Plan presented during the recent Capital Market Day.

The bond will be documented under the Euro Medium Term Notes Programme and, in light of the senior non-preferred status, will have the following expected ratings: Baa3 (Moody's) / BBB- (S&P) / BBB (Fitch). The minimum denomination of the bond issue is EUR250,000 and EUR1,000 thereafter.
