Disclosure of an inside information acc. to Article 17 MAR of the Regulation (EU) No 596/2014

SLEEPZ AG today has agreed with Heliad Equity Partners GmbH & Co. KGaA and Apeiron Investment Group Ltd on a financing of € 5 million.

Of this amount, € 2 million will be provided through the subscription of the convertible bond 2018/2021, which subsequent placement now ends on 10 October 2018, 12:00 noon (CEST). A further € 3 million will be provided to SLEEPZ AG as a long-term loan.

The financing is intended to lay the foundation for the planned takeovers of URBANARA GmbH and Sam Stil-Art-Möbel GmbH. The term sheet with URBANARA has meanwhile been extended until the end of October.

As part of this financing, several shareholders including Oliver Borrmann, member of the Executive Board, have granted Apeiron an option to purchase shares in SLEEPZ AG. In addition, Oliver Borrmann has decided for personal reasons in connection with the transaction to resign from the Management Board effective October 31, 2018. He will continue to support the company in an advisory role until the end of the year, in particular in the preparation and implementation of the intended takeovers.
