TWO NEW BOARD MEMBERS WILL BE SUBMITTED TO THE UPCOMING SHAREHOLDERS’ MEETING

Marie Brizard Wine & Spirits (Euronext Paris: MBWS) today announces that, at the upcoming Shareholders’ Meeting to be held at 2.30 pm (Paris time) on 21 June 2016, shareholders will be asked to approve the appointment of two new Board members.

To replace Mr. Mehdi Bouchaara, who passed away in March 2016, the Board of Directors will ask Marie Brizard Wine & Spirits’ shareholders to approve the appointment of Mr. Hachem Belghiti, coopted during the Board meeting of 9 May 2016, as a new Board member for the remaining duration of his predecessor’s mandate, i.e. until the Shareholders’ Meeting called to approve the Group’s 2018 accounts.

Furthermore, to take into account the increased shareholding of COFEPP (La Martiniquaise Bardinet group), the Board of Directors will also ask the Shareholders’ Meeting to approve the appointment of Mrs. Edith Cayard as a new Board member for a period of six years until the Shareholders’ Meeting called to approve the Group’s 2021 accounts.

These proposed appointments reflect Diana Holding and COFEPP’s commitment to and involvement in the Group’s development. These two shareholders thus together accounted for almost 70% of the early exercise of the 2016 stock warrants that enabled the Group to receive a total cash inflow of €36 million in April 2016.

Should these appointments be approved by the Shareholders’ Meeting, the Board of Directors would consist of the following 11 members:

• 5 independent Board Members: Constance Benqué, Christine Mondollot, Benoît Ghiot, Benoît Hérault and Guillaume de Belair;

• 3 Board members representing Diana Holding: Rita Maria Zniber, Serge Heringer and Hachem Belghiti;

• 1 Board member representing DF Holding, Castel group: Laurence Dequatre;

• 2 Board members representing COFEPP (La Martiniquaise Bardinet): Jean-Pierre Cayard and Edith Cayard.

The Board of Directors has pledged that its Chairperson should continue to be an independent Board member, and a change in the Chairperson is not on the agenda. Diana Holding, DF Holding and COFEPP have backed this pledge.
