Avia Solutions Group, AB, legal entity code 302541648, with registered office address at Smolensko str. 10, Vilnius, the Republic of Lithuania (hereinafter referred to as the Company), the authorized capital of which is divided into 5 893 333 (five million eight hundred ninety three thousand three hundred thirty three) ordinary registered shares with the par value of LTL 1 (one Litas) per share entitling to 5 893 333 (five million eight hundred ninety three thousand three hundred thirty three) votes at the shareholders meeting on 30 April 2013 convened an Ordinary Annual General Meeting of Shareholders (hereinafter referred to as the Meeting).
Shareholders collectively holding 3 841 176 (three million eight hundred forty one thousand one hundred seventy six) of the Company’s shares (3 841 176 of the votes respectively) which represent 65.18 percent of the total issued share capital of the Company, took part in the Meeting upon voting in writing in advance and timely submitting duly completed and signed General Voting Ballots (hereinafter referred to as the “Participating Shareholders”).
The Participating Shareholders at the Meeting unanimously adopted the following resolutions:
Resolution 1. Approval of Annual Financial Statements for the year 2012;
Resolved: to approve Annual Financial Statements for the year 2012.
Resolution 2. Approval of the profit allocation of the Company for the year 2012;
Resolved: to appropriate 1/20 of the Company‘s annual net profit for the current financial year to the compulsory reserve fund and to carry forward the remaining amount of the Company‘s profit to the next financial year.
Resolution 3. Election of the auditor of the Company;
Resolved: to elect PricewaterhouseCoopers UAB, legal entity’s code 111473315, registered address at J. Jasinskio str. 16B, Vilnius, the Republic of Lithuania, as the Company’s audit enterprise for the year of 2013 to perform the audit of the annual consolidated financial statements of the Company for the year 2013, and to make the assessment of the consolidated annual reports of the Company for the year 2013. To authorize the Company’s General Manager to conclude the agreement for audit services, establishing the payment for services as agreed between the parties but in any case not more than 350 000 (three hundred and fifty thousand) Litas (VAT excluded) for the audit of the Company’s annual consolidated financial statements for the year 2013 and assessment of the Company’s consolidated annual reports.
