GIGROUP (GIG): Extension of exclusivity period in the head of terms regarding sale of shares of Exact Systems S.A. and obtaining knowledge about application for granting consent for concentration - raport 43

The Management Board of Work Service S.A. (the "Issuer"), with reference to the current reports no. 19/2018 dated 21 May 2018, no. 34/2018 dated 4 July 2018, no. 37/2018 dated 20 July 2018 and no. 38/2018 dated 31 July 2018, hereby informs that on 14 August 2018 the Issuer concluded with Mr. Paweł Gos, Mr. Lesław Walaszczyk and CVI Dom Maklerski Sp. z o.o. with its registered office in Warsaw (the “Purchasers”) annex no. 4 to the head of terms (the “Annex”).

Pursuant to the Annex, the exclusivity period has been extended until the 5th business day following fulfilling or waiving, as the case may be, of the last condition precedent included in the preliminary share purchase agreement regarding sale of all Issuer’s shares in Exact Systems S.A. with its registered office in Częstochowa (the “PSPA”), (the “Company”), which will be concluded between the Issuer and a special purpose vehicle, whose shares are held by the Purchasers (the “SPV”).

In addition, the Issuer informs that it obtained knowledge about intention of filing today, i.e. 16 August 2018, by the SPV to the Polish Office for Competition and Consumer Protection (Urząd Ochrony Konkurencji i Konsumenta) of the application for granting consent for the concentration by acquisition by the SPV of all Company’s shares held by the Issuer. The Issuer will inform about filing the application in a separate current report.

The Issuer will inform about signing of the PSPA in a separate current report.

As a result of the analysis, the Issuer found that it is justified that the indicated above information should be qualified as confidential information within the meaning of Article 17(1) MAR, subject to publication in the form of this report.
