Zarząd Spółki LEASING-EXPERTS S.A. ("Emitent", "Spółka"), mając na uwadze prowadzoną przejrzystą politykę informacyjną ze szczególnym uwzględnieniem potrzeb inwestorów oraz efektywny dostęp do informacji niezbędnych do oceny emisji akcji serii F i perspektyw Spółki, przekazuje niniejszym kolejne informacje.

Zgodnie z wcześniejszymi zapowiedziami, priorytetem spółki na najbliższe lata jest kontynuowanie strategii rentownego wzrostu poprzez rozwój uruchomionego w 2014 r. funduszu leasingowego specjalizującego się w transakcjach leasingu nieruchomości komercyjnych i mieszkaniowych o wartości do 1 mln zł oraz osiągnięcie pozycji jednej z największych firm w zakresie oferowania produktów leasingowych w Polsce. Środki finansowe pozyskane w wyniku emisji akcji serii F zostaną wykorzystane do realizacji wskazanych celów.

Pozyskane środki finansowe pozwolą na dynamiczny, skokowy rozwój zwłaszcza funduszu leasingowego oraz dalszą budowę sieci oddziałów franczyzowych. Zarząd Spółki jest przekonany, iż pozyskanie środków finansowych zwiększy znacznie poziom kapitalizacji spółki, poprawi strukturę bilansu, co z kolei ułatwi pozyskanie kolejnego finansowania dla działalności funduszu leasingowego (emisje obligacji, kredyty bankowe). Zarząd oczekuje, iż w wyniku tego zwiększy się skala biznesu, a w efekcie nastąpi dalszy wzrost wyników finansowych. Szczegółowe informacje na temat celów emisji zostaną zamieszczone w Memorandum Informacyjnym akcji serii F, które będzie udostępnione na stronach internetowych Spółki www.leasing-experts.pl oraz Oferującego www.ventusam.pl

Zarząd po przeanalizowaniu obecnej sytuacji Spółki, bieżącej sytuacji rynkowej oraz tempa wzrostu biznesu Spółki, działając w porozumieniu z Oferującym oraz Doradcą ds. Oferty Publicznej, ustalił poziom ceny emisyjnej na poziomie stanowiącym kompromis pomiędzy oczekiwaniami akcjonariuszy, a aktualną sytuacją na rynku pierwotnym.

W opinii Zarządu pozyskanie kapitału z emisji akcji serii F będzie korzystne zarówno dla obecnych, jak i przyszłych akcjonariuszy. Pozwoli bowiem na dynamiczny rozwój funduszu leasingowego, co w długim terminie w opinii Zarządu doprowadzi do wzrostu wartości Spółki.

Zarząd Spółki informuje, iż główny akcjonariusz Spółki Pan Marcin Pawłowski, pełniący jednocześnie funkcję Prezesa Zarządu, podejmie szereg zobowiązań ograniczających zbywalność akcji będących w jego posiadania w dniu rozpoczęcia Oferty. Szczegółowe informacje na ten temat zostaną przekazane do publicznej wiadomości oraz udostępnione w Memorandum Informacyjnym, które zostanie opublikowane 18 listopada 2014 r.

The Management Board of LEASING-EXPERTS SA (The "Issuer" or "the Company"), whereas a transparent information policy pursued with particular emphasis on the needs of investors and efficient access to information needed to assess the issue of shares series F and prospects of the Company, hereby provides additional information.

As previously announced, the company's top priority for the coming years is to continue the strategy of profitable growth through the development od leasing company started in 2014. Leasing company specializing in leasing transactions of commercial and residential properties with a value of up to 1 million PLN, and to become one of the largest companies in terms of offering products leasing in Poland. The funds raised through the issue of shares series F will be used to carry out particular tasks.

Obtained funding will allow the dynamic, revolutionary expansion in particular leasing company, and continue building a network of franchised branches. Management believes that the acquisition of financial resources will increase significantly the level of capitalization of the company, improve the balance sheet structure, which in turn will facilitate the acquisition of further funding for the lease of the fund (bond issues, bank loans). Management expects that as a result of the increase of the scale, resulting in further increase in financial results. Detailed information on emission targets will be included in the Information Memorandum series F shares, which will be made available on the websites of the Company www.leasing-experts.pl and the Offeror www.ventusam.pl

The Board after analyzing the current situation of the Company, the current market situation and business growth of the Company, acting in concert with the Offeror and the Advisor. Public Offering, the level of the issue price determined at the level of the compromise between the expectations of shareholders, and the current situation in the primary market.

In the opinion of the Board to raise capital from the issuance of Series F shares will be beneficial for both current and future shareholders. This will allow for the dynamic development of the leasing company, which in the long term, in the opinion of the Board will lead to an increase in the value of the Company.

The Management Board informs that the main shareholder of the Company, Mr. Marcin Pawlowski, who is acting also as the Chief Executive Officer, will take a number of obligations restricting the transferability of shares held in its possession on the date of the Offer. Detailed information on this subject will be made public and available in the Information Memorandum, which will be published on 18 November 2014.
