PROPERTYF (PLE): Nabycie udziałów spółki AIRCRAFT Lease Poland Sp. z o.o. i zawarcie istotnej umowy - raport 90

Zarząd Spółki Leasing-Experts S.A. z siedzibą we Wrocławiu („Emitent") informuje, iż w dniu 19 sierpnia 2014 r. zawarł z Panem Marcinem Pawłowskim umowę nabycia 16 099 udziałów spółki AIRCRAFT Lease Poland Sp. z o.o., o wartości nominalnej 50,00 zł każdy. Nabyte udziały stanowią 99,99% udziałów w kapitale zakładowym spółki.

Strony ustaliły cenę nabycia udziałów na łączną kwotę 999.747,90 zł. Rozliczenie transakcji nastąpiło w dniu 19 sierpnia 2014 r. w drodze umownego potrącenia wzajemnych wierzytelności, wynikających z objęcia 1 000 000 akcji na okaziciela serii D Spółki za kwotę 1.000.000,00 zł przez Pana Marcina Pawłowskiego.

Emitent przekazuje niniejszą informację z uwagi na fakt, iż dokonana transakcja stanowi realizację strategii polegającej na budowaniu silnej Grupy Kapitałowej Leasing-Experts, skupiającej spółki o komplementarnych usługach, zajmujących się realizacją transakcji leasingu nieruchomości oraz statków powietrznych o niższych wartościach rynkowych, o czym poinformowano w raporcie kwartalnym Spółki za II kwartał 2014 roku.

Ponadto, Emitent planuje do końca roku 2014 rozpocząć procedurę przekształcenia AIRCRAFT Lease Poland sp. z o.o. w spółkę akcyjną, jako pierwszego etapu na drodze do wprowadzenia spółki zależnej do obrotu na rynku NewConnect.

§3 ust. 2 pkt 1) oraz §3 ust. 2 pkt 2) Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu „Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".​​

The Management Board of Leasing-Experts S.A. with its registered office in Wrocław ("the Issuer") announces that on August 19, 2014 concluded with Mr. Marcin Pawlowski agreement to purchase 16 099 shares of the company AIRCRAFT Lease Poland Sp. z o.o., with a nominal value 50,00 zł each. Acquired shares represent 99.99% of the share capital of the company.

The parties agreed the purchase price of the shares for a total amount of PLN 999,747.90. The transaction was settled on August 19, 2014 in the way of contractual set-off of claims arising from the placing of 1 000 000 shares of series D bearer shares of the Company for an amount of PLN 1,000,000.00 by Mr. Marcin Pawlowski.

The Issuer shall convey this information due to the fact that the transaction is the implementation of its strategy of building a strong Capital Group of Leasing-Experts, which brings together companies with complementary services, dealing with the implementation of real estate leases and aircraft with lower market values, as informed in the report quarter of the Company for the second quarter of 2014.

Moreover, the Issuer plans by the end of 2014, begin the transformation AIRCRAFT Lease Poland Sp. z o.o. to a joint stock company, as a first step towards a subsidiary to trading on NewConnect market.

§ 3, item 2 section 1) and the § 3, item 2 section 2) of the Exhibit no. 3 to the Alternative Trading System Rules "Current and Periodical Information in the Alternative Trading System on the New Connect Market".
