PLANETINN (PIG): Informacja o zasądzeniu wyroku w sprawie przeciwko Spółce // Information about the award of legal judgment against the Company - raport 5

W nawiązaniu do raportu bieżącego nr 31/2015, Zarząd Planet Soft S.A. („Spółka”) informuje, że w dniu dzisiejszym powziął informację o rozpoznaniu w dniu 29 stycznia 2016 r. przez Sąd Okręgowy we Wrocławiu X Wydział Gospodarczy we Wrocławiu („Sąd”) sprawy z powództwa Instytutu Biznesu Sp. z o.o. przeciwko Spółce.

Zgodnie z treścią wyroku, Sąd zobowiązał Spółkę do złożenia Instytutowi Biznesu Sp. z o.o. oświadczenia woli w wykonaniu umowy przedwstępnej sprzedaży akcji z dnia 1 maja 2013 r. o następującej treści:

"Planet Soft S.A. z siedzibą we Wrocławiu wpisana do KRS pod nr 0000406990 kupuje bez protestu i odbiera od Instytutu Biznesu Sp. z o.o. z siedzibą w Warszawie wpisanej do KRS pod nr 0000448650 akcje zwykłe na okaziciela serii D o nr 000.001 do 081.081 w ilości 81081 sztuk spółki Rearden Technology S.A. z siedzibą we Wrocławiu za zapłatą ceny 387.500,00 zł (trzysta osiemdziesiąt siedem tysięcy pięćset złotych)”.

W pozostałym zakresie powództwo zostało oddalone.

Spółka podtrzymuje swoje stanowisko, iż żądania Instytutu Biznesu Sp. z o.o. są bezpodstawne (szerzej opisano w raporcie bieżącym nr 31/2015)  i zamierza odwołać się od wyroku. Wyrok nie jest prawomocny.

Powyższe zdarzenie zostało uznane za istotne, ponieważ wartość sporu przekracza 20% kapitałów własnych Spółki.

Podstawa Prawna: § 3 ust. 2 pkt 4 Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu “Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect”.

In reference to Current Report No. 31/2015, the Board Planet Soft PLC (The "Company") announces that today it was notified of the court judgment on 29 January 2016. By the Wroclaw Regional Court Commercial Division X of Wrocław ("Court") in case filed by the Instytut Biznesu Sp.z o.o against the Company.

According to the judgment, the Court obliged the Company to submit to the Instytut Biznesu Sp. z o.o a declaration of intent in the execution of the preliminary agreement of sale of shares on 1 May 2013. which reads as follows:

"Planet Soft SA, based in Wrocław entered in the National Court Register under the number 0000406990 buys without protest and receives from the Instytut Biznesu Sp. z o.o. with its seat in Warsaw, entered into the National Court Register under the number 0000448650 ordinary bearer shares of series D No. 000.001 to 081.081 in the amount of 81,081 pieces of the company Rearden Technology SA based in Wroclaw consideration of the payment zł 387,500.00 (three hundred eighty-seven thousand five hundred zloty). "

The remainder of the action was dismissed.

The company maintains its position that the claims of the Institute of Business Sp. with o.o They are unfounded (described in detail in the current report No. 31/2015) and intends to appeal the verdict. The judgment is not final.

This event was considered significant because the value of the dispute exceeds 20% of its equity.

Legal basis: § 3. 2 point 4 of the Annex No. 3 to the Alternative Trading System Rules "Current and Periodical Information in the alternative trading system on the NewConnect market".
