Results of scrip dividend operation

UniCredit communicates that, having the payment of the dividend from profit reserves in the form of a scrip dividend deliberated in the Shareholders’ meeting held on April 14, 2016 taken place, around 78% of the Shareholders entited to such right have received the dividend in shares (compared to a percentage of respectively around 75% and 70% registered in the fiscal years 2015 and 2014).

In execution of the capital increase underlying the scrip dividend, n.198,646,706 ordinary shares and n. 44,219 savings shares have been issued (with regular dividend right as of 1/1/2016, coupon 6).

The share capital (fully subscribed and paid) following the execution of the mentioned increase will be equal to Euro 20,846,893,436.94 divided into shares with no nominal value, of whose 6,177,818,177 ordinary shares and 2,524,896 savings shares.

The positive impact on Group consolidated capital ratios is equal to 14 bps * (CET 1).
