BTCS S.A. z siedzibą w Warszawie, ul. Plac Powstańców Warszawy 2, 00-030 Warszawa, wpisana do Rejestru Przedsiębiorców Krajowego Rejestru Sądowego pod numerem KRS 0000390734 ("Emitent") informuje się, że umowa udostępnienia aktywów cyfrowych z dnia 16 września 2025 r. , zawarta pomiędzy BTCS S.A. (jako Biorącym) a TTP Limited (jako Udostępniającym), o której Emitent informował w raporcie bieżącym ESPI nr 21/2025, została skutecznie wypowiedziana przez BTCS S.A.

Podstawa Prawna Wypowiedzenia:

Wypowiedzenia dokonano na podstawie § 3 ust. 2 umowy, który uprawniał każdą ze stron do jej rozwiązania z zachowaniem 3-dniowego okresu wypowiedzenia.

Daty Kluczowe:

Oświadczenie o wypowiedzeniu umowy Emitent złożył firmie TTP Limited w dniu 25 września 2025 r. Zgodnie z zachowanym okresem wypowiedzenia, umowa została rozwiązana z końcem dnia 28 września 2025 r.

Przyczyna Wypowiedzenia:

Decyzja o zakończeniu współpracy została podjęta przez Zarząd Emitenta w związku z zawarciem nowej, strategicznej umowy z firmą BIOINFO CORPORATION, o której Emitent informował w raporcie bieżącym ESPI nr 24/2025. Warunki uzyskane w ramach nowej umowy (dotyczącej udostępnienia 115 BTC z opcją konwersji na akcje) zostały ocenione jako znacznie korzystniejsze dla dalszego rozwoju i strategii finansowej Emitenta niż dotychczasowy model współpracy z TTP Limited, polegający na podziale przychodów z delegacji (stakingu) aktywów.

Subject: Report on the termination of the agreement with TTP Limited

BTCS S.A. with its registered office in Warsaw, ul. Plac Powstańców

Warszawy 2, 00-030 Warsaw, entered in the Register of Entrepreneurs of

the National Court Register under KRS number 0000390734 (the "Issuer")

hereby announces that the digital asset sharing agreement of September

16, 2025, concluded between BTCS S.A. (as the Recipient) and TTP Limited

(as the Provider), about which the Issuer informed in current report

ESPI No. 21/2025, has been effectively terminated by BTCS S.A.

Legal basis for termination:

The termination was made pursuant to § 3(2) of the agreement, which

entitled each party to terminate it with a 3-day notice period.

Key Dates:

The Issuer submitted a statement of termination of the agreement to TTP

Limited on September 25, 2025. In accordance with the notice period, the

agreement was terminated at the end of September 28, 2025.

Reason for termination:

The decision to terminate the cooperation was made by the Issuer's

Management Board in connection with the conclusion of a new strategic

agreement with BIOINFO CORPORATION, as announced by the Issuer in

current report ESPI No. 24/2025. The terms and conditions obtained under

the new agreement (concerning the provision of 115 BTC with an option to

convert into shares) were assessed as significantly more favorable for

the Issuer's further development and financial strategy than the

previous model of cooperation with TTP Limited, which consisted in the

distribution of revenues from the delegation (staking) of assets.
