Zarząd spółki BTCS S.A. z siedzibą w Warszawie ("Emitent", "Spółka") informuje, iż w nawiązaniu do raportu bieżącego nr 24/2025 z dnia 23 września 2025 r. o zawarciu Umowy Udostępnienia Aktywów Cyfrowych ("Umowa Główna") z BIOINFO CORPORATION oraz raportu bieżącego nr 28/2025 z dnia 29 września 2025 r. o zawarciu umowy poręczenia, w dniu 29 września 2025 roku Spółka otrzymała od BIOINFO CORPORATION aktywa cyfrowe będące przedmiotem Umowy Głównej.

Zgodnie z Umową Główną, na wskazany przez Spółkę adres portfela cyfrowego przekazane zostało 115 (sto piętnaście) jednostek kryptowaluty Bitcoin (BTC). Wartość udostępnionych aktywów cyfrowych w dniu zawarcia Umowy Głównej wynosiła 12.937.500 USD (dwanaście milionów dziewięćset trzydzieści siedem tysięcy pięćset dolarów amerykańskich).

Przekazanie Aktywów Cyfrowych nastąpiło w wyniku spełnienia ostatniego warunku zawieszającego, jakim było zawarcie umowy poręczenia, o której Spółka informowała w odrębnym raporcie.

Informacja została uznana za poufną, gdyż otrzymanie aktywów o znacznej wartości w sposób bezpośredni i istotny wpływa na sytuację finansową i majątkową Spółki, co może mieć znaczenie dla wyceny jej instrumentów finansowych notowanych w alternatywnym systemie obrotu.

Subject: Receipt of digital assets of significant value in performance

of a sharing agreement

The Management Board of BTCS S.A. with its registered office in Warsaw

(the "Issuer", the "Company") hereby announces that, with reference to

current report no. 24/2025 of September 23, 2025, on the conclusion of

the Digital Asset Sharing Agreement ("Main Agreement") with BIOINFO

CORPORATION and current report No. 28/2025 of September 29, 2025, on the

conclusion of a surety agreement, on September 29, 2025, the Company

received from BIOINFO CORPORATION the digital assets covered by the Main

Agreement.

In accordance with the Main Agreement, 115 (one hundred and fifteen)

units of Bitcoin (BTC) cryptocurrency were transferred to the digital

wallet address indicated by the Company. The value of the digital assets

made available on the date of conclusion of the Main Agreement was USD

12,937,500 (twelve million nine hundred thirty-seven thousand five

hundred US dollars).

The transfer of Digital Assets took place as a result of the fulfillment

of the last condition precedent, which was the conclusion of a guarantee

agreement, about which the Company informed in a separate report.

The information was considered confidential because the receipt of

assets of significant value directly and materially affects the

Company's financial and asset situation, which may be relevant to the

valuation of its financial instruments listed in the alternative trading

system.
