Zarząd spółki MBF Group S.A. z siedzibą w Warszawie ("Emitent", "Spółka"), w nawiązaniu do raportów bieżących ESPI nr 43/2025 z dnia 4 września 2025 r. dotyczącego zawarcia strategicznej umowy konsorcjum oraz nr 48/2025 z dnia 2 października 2025 r. w sprawie podpisania Załącznika nr 1 do tej umowy, informuje o podpisaniu w dniu 1 października 2025 r. Załącznika nr 2 do Umowy Konsorcjum. Dokument reguluje finansowanie pierwszego etapu realizacji projektu IRYDA PLUS, obejmującego budowę demonstratora technologii (modelu demonstracyjnego), pod nadzorem Spółki i przy udziale technologicznym spółki Squadron Sp. z o.o.

Jednocześnie Zarząd Emitenta wyjaśnia, że Załącznik nr 2 określa, że termin zakończenia prac nad demonstratorem i ustalono go na 30 kwietnia 2026 roku, a następnie jego prezentację na renomowanej konferencji.

Zarząd Spółki informuje, że całkowite finansowanie I etapu zapewnia Emitent jako lider Konsorcjum. Środki będą wypłacane w transzach, zgodnie z zapotrzebowaniem zgłaszanym przez Squadron i popartym krótkim opisem planowanych działań, przy czym termin płatności każdej transzy wynosi 7 dni od daty wystawienia faktury. Emitent podkreśla, że równolegle z finansowaniem I etapu prowadzi działania mające na celu pozyskanie inwestora lub grupy inwestorów, którzy włączą się w finansowanie i realizację kolejnych etapów projektu.

Demonstrator technologii obejmuje kompletny model demonstracyjny drona-myśliwca IRYDA PLUS o długości i rozpiętości skrzydeł do około 3 metrów, wykonany z tworzyw sztucznych z elementami imitującymi silnik i śmigło. Wyposażony zostanie w stojak wystawowy, światła nawigacyjne i instalację elektryczną, a także ruchomy moduł obserwacyjny. Integralną częścią demonstratora będzie gondola strzelecka z makietą lufy karabinka kalibru 7,62 mm, obracana elektrycznie w pionie i poziomie, zintegrowana z systemem wirtualnej symulacji obejmującym model 3D samolotu, scenariusze walki z celami powietrznymi oraz joystick do sterowania kamerą. Symulacja wirtualna będzie sprzężona zarówno z gondolą strzelecką, jak i modułem obserwacyjnym, zapewniając realistyczne odwzorowanie działania systemu. Całość uzupełni pojemnik transportowy umożliwiający bezpieczne przemieszczanie demonstratora i jego elementów na potrzeby prezentacji, targów i testów.

Spółka informuje, że Załącznik nr 2 przewiduje mechanizm raportowania po każdej transzy oraz obowiązek zgłaszania przez Squadron wszelkich problemów, zdarzeń nadzwyczajnych i ryzyk, aby umożliwić Emitentowi bieżące wspieranie procesu i zapewnić jego zgodność z budżetem oraz harmonogramem. W przypadku opóźnienia lub przekroczenia budżetu Załącznik nr 2 przewiduje odpowiedzialność po stronie wykonawcy, w tym obowiązek zwrotu środków lub możliwość odstąpienia od umowy przez MBF Group.

Zarząd MBF Group SA podkreśla, że podpisanie Załącznika nr 2 stanowi istotny etap realizacji projektu IRYDA PLUS, ponieważ umożliwia rozpoczęcie materialnych prac nad demonstratorem technologii, będącym pierwszym krokiem do budowy pełnowartościowego prototypu. Całkowite wykonanie w pełni funkcjonalnego prototypu, przy założeniu pozyskania pełnego finansowania, planowane jest na przełom lat 2026 i 2027 i będzie zarazem momentem, w którym możliwe stanie się rozpoczęcie procesu ofertowania systemu oraz przygotowania do jego seryjnej produkcji. Z uwagi na znaczenie tego etapu dla dalszego przebiegu projektu oraz potencjalny wpływ na finanse Spółki, Emitent uznał niniejszą informację za poufną i przekazuje ją do publicznej wiadomości zgodnie z art. 17 MAR.

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the "Issuer," "Company"), with reference to current reports ESPI

No. 43/2025 of September 4, 2025, concerning the conclusion of a 

strategic consortium agreement, and No. 48/2025 of October 2, 2025,

concerning the signing of Appendix No. 1 to this agreement, hereby

announces the signing of Appendix No. 2 to the Consortium Agreement on

October 1, 2025. The document regulates the financing of the first stage

of the IRYDA PLUS project, including the construction of a technology

demonstrator (demonstration model), under the supervision of the Company

and with the technological participation of Squadron Sp. z o.o.

At the same time, the Issuer's Management Board explains that Appendix 2

specifies that the deadline for completion of work on the demonstrator

is set for April 30, 2026, followed by its presentation at a renowned

conference.

The Company's Management Board informs that the total financing for

stage I is provided by the Issuer as the leader of the Consortium. The

funds will be paid in tranches, in accordance with the demand reported

by Squadron and supported by a brief description of the planned

activities, with the payment date for each tranche being 7 days from the

date of invoice issuance. The Issuer emphasizes that, in parallel with

the financing of the first stage, it is conducting activities aimed at

attracting an investor or group of investors who will participate in the

financing and implementation of subsequent stages of the project.

The technology demonstrator includes a complete demonstration model of

the IRYDA PLUS fighter drone with a length and wingspan of approximately

3 meters, made of plastic with elements imitating the engine and

propeller. It will be equipped with a display stand, navigation lights,

and electrical installation, as well as a movable observation module. An

integral part of the demonstrator will be a gun pod with a mock-up of a 

7.62 mm caliber rifle barrel, electrically rotated vertically and

horizontally, integrated with a virtual simulation system including a 3D

model of the aircraft, combat scenarios with air targets, and a joystick

to control the camera. The virtual simulation will be linked to both the

gun pod and the observation module, ensuring realistic representation of

the system's operation. The whole will be complemented by a transport

container enabling safe movement of the demonstrator and its components

for presentations, trade fairs, and tests.

The company informs that Appendix 2 provides for a reporting mechanism

after each tranche and an obligation for Squadron to report any

problems, extraordinary events, and risks in order to enable the Issuer

to support the process on an ongoing basis and ensure its compliance

with the budget and schedule. In the event of a delay or budget overrun,

Appendix 2 provides for the contractor's liability, including the

obligation to return funds or the possibility of MBF Group withdrawing

from the agreement.

The Management Board of MBF Group SA emphasizes that the signing of

Appendix 2 is an important stage in the implementation of the IRYDA PLUS

project, as it enables the commencement of material work on the

technology demonstrator, which is the first step towards the

construction of a full-fledged prototype. The complete construction of a 

fully functional prototype, assuming full financing is obtained, is

planned for the turn of 2026 and 2027 and will also be the moment when

it will be possible to start the system bidding process and prepare for

its serial production. Due to the importance of this stage for the

further course of the project and its potential impact on the Company's

finances, the Issuer has deemed this information to be confidential and

is disclosing it to the public in accordance with Article 17 of MAR.
