Zarząd spółki PCF Group S.A. z siedzibą w Warszawie ("Spółka"), w nawiązaniu do informacji opublikowanych w raporcie bieżącym nr 14/2025, informuje, że w wyniku negocjacji prowadzonych przez grupę kapitałową Spółki ("Grupa") ze spółką Square Enix Limited z siedzibą w Londynie (Wielka Brytania), dalej zwaną "Wydawcą", w dniu 19 listopada 2025 r. Grupa zawarła z Wydawcą warunkowe porozumienie regulujące w szczególności zasady ostatecznych rozliczeń finansowych projektu Gemini realizowanego przez Grupę na rzecz Wydawcy ("Porozumienie"). Na mocy Porozumienia Wydawca i Grupa postanowiły także rozwiązać za porozumieniem stron łączące je umowy, tj. umowę produkcyjno-wydawniczą z dnia 12 sierpnia 2020 r. dotyczącą projektu Gemini oraz umowę produkcyjno-wydawniczą z dnia 16 lutego 2016 r. dotyczącą projektu Madness. W ramach Porozumienia Wydawca oraz Grupa wzajemnie zrzekły się również potencjalnych roszczeń związanych z dotychczasową współpracą.

Porozumienie zawiera warunek zawieszający polegający na tym, że Grupa w terminie 30 dni od dnia jego zawarcia dostarczy Wydawcy wskazane w Porozumieniu materiały powstałe w wyniku prac deweloperskich nad projektem Gemini, tzw. closing kit ("Closing Kit"), a Wydawca w terminie 30 dni od dnia dostarczenia Closing Kit zweryfikuje i potwierdzi jego zawartość. W przypadku braku reakcji Wydawcy w tym terminie lub odrzucenia przez Wydawcę zawartości Closing Kit Porozumienie wygaśnie, a przewidziane w nim skutki prawne nie wystąpią.

Spółka przekaże do publicznej wiadomości aktualizacje informacji dotyczących zaistniałego zdarzenia w odrębnych raportach bieżących.

Conclusion of a conditional settlement agreement with Square Enix LimitedThe

Management Board of PCF Group S.A. with its registered office in Warsaw

(the "Company"), with reference to the information published in current

report No. 14/2025, announces that following negotiations conducted by

the Company's capital group (the "Group") with Square Enix Limited,

having its registered office in London, United Kingdom (the

"Publisher"), on 19 November 2025 the Group entered into a conditional

settlement agreement with the Publisher governing, in particular, the

rules for the final financial settlements related to the Gemini project

carried out by the Group for the Publisher (the "Settlement"). Under the

Settlement, the Publisher and the Group also agreed to terminate the

agreements binding them to date, i.e. the development and publishing

agreement dated 12 August 2020 relating to the Gemini project and the

development and publishing agreement dated 16 February 2016 relating to

the Madness project. As part of the Settlement, the Publisher and the

Group also mutually waived any potential claims arising from their

cooperation to date.

The Settlement includes a condition precedent under which the Group

shall, within 30 days from its execution, deliver to the Publisher the

materials specified therein which were developed under the Gemini

project, referred to as the closing kit (the "Closing Kit"), and the

Publisher shall, within 30 days from the date of delivery of the Closing

Kit, review and confirm its contents. In the absence of a response from

the Publisher within the above deadline, or if the Publisher rejects the

contents of Closing Kit, the Settlement shall have no force and the

legal effects provided for therein shall not occur.

The Company will provide updates concerning this event in separate

current reports.
