The Board of Directors of Sopharma AD approved prospectuses for warrant issues
Sofia, Bulgaria, October 27, 2025 - In accordance with the requirements of Art. 100t of the LPOS, "Sopharma" AD (SFA: "BSE - Sofia", SPH: Warsaw Stock Exchange) informs that in accordance with Art. 25 of the Company's Articles of Association, at its meeting the Board of Directors approved three prospectuses for an initial public offering of warrants as follows:
3-year issue:
Number of warrants: 8,985,960 pieces
Issue price of one warrant: 0.27 leva
Exercise price: 3.60 leva
Minimum issue success threshold: 1,797,192 pieces
Period within which the right can be exercised: 3 years
5-year issue:
Number of warrants: 8,985,960 pieces
Issue price of one warrant: 0.27 leva
Exercise price: 4.56 leva
Minimum issue success threshold: 1,797,192 pieces
Period within which the right can be exercised: 5 years
7-year issue:
Number of warrants: 8,985,960 pieces
Issue price of one warrant: 0.27 leva
Exercise price: 5.70 leva
Minimum issue success threshold: 1,797,192 pieces
Period within which the right can be exercised: 7 years
The remaining parameters of the issue are described in the Public Offering Prospectuses, which have been submitted for approval to the Financial Supervision Commission.
The financial consultant and investment intermediary selected by the Board of Directors in connection with the issuance of the warrants are respectively "Main Capital" AD, UIC 202402882, with registered office in the city of Sofia and registered office at Sofia District, Stolichna Municipality, Sofia 1404, Triaditsa District, Gotse Delchev Residential Complex, Block 22, Entrance 2 and "Sofia International Securities" AD, UIC 121727057, with registered office in the city of Sofia and registered office at 140 G.S. Rakovski Blvd., Floor 4.
