ENEFI Energy Efficiency Plc. (“Company”) hereby informs its Honourable Investors that the

Romanian affiliate thereof, E-Star CDR srl. has informed the Company about the following:

Today the court has rejected the action for review by the Municipality of Gheorgheni Town

against the already final decision of the Harghita County Tribunal in which CDR was obliged

to continue the services for no longer than 60 days calculated from 13/10/2016.

CDR informed the Town about the termination of the service after limitations and called the

Town to take over the service and the system without delay on the basis of the obligations set

forth in legal regulations, the agreement as well as court decisions.

The Town has been arguing till now that it is incapable of taking over the system and the

service, however in their letter received by our company on 09/01/2017 we have been

informed that at least them period of at least 52 days is required for the takeover of the service

in accordance with the legal regulations in case of the concession proceedings, while in case

of the takeover by the Town 30 days are required and further 15 days to hire employees.

It is verified from this that the Town would have been able to take over the service within the

term provided for it by the court or even earlier. however it did not make any necessary

measures irrespectively of the court decision and it was only wasting time until CDR became

unable to provide the service even out of the agreement.
