PKNORLEN (PKN): ORLEN SA (7/2025) Pozew o stwierdzenie nieważności wraz z ewentualnym roszczeniem o uchylenie uchwały NWZ ORLEN S.A. - raport 7/2025

ORLEN S.A. ("ORLEN", "Spółka") powziął informację z Sądu Okręgowego w Łodzi, X Wydział Gospodarczy o wniesieniu przez akcjonariusza Spółki pozwu o stwierdzenie nieważności wraz z ewentualnym roszczeniem o uchylenie uchwały nr 5 podjętej przez Nadzwyczajne Walne Zgromadzenie ORLEN w dniu 2 grudnia 2024 roku, dotyczącej roszczeń o naprawienie szkód wyrządzonych przy sprawowaniu zarządu przeciwko byłym członkom Zarządu Spółki.

W ocenie Spółki pozew jest bezzasadny.

The statement of claim for annulment with potential claim for repeal of the resolution of ORLEN S.A. EGMRegulatory announcement no 7/2025 dated 27 January 2025ORLEN S.A. ("ORLEN", "Company") acquired an information from the District Court for Łódź, X Commercial Division, about the statement of claim filed by the Company's shareholder for annulment together with potential claim for repeal of the resolution no 5 adopted by the Extraordinary General Meeting of ORLEN on 2 December 2024 to seek compensation for losses incurred by the Company due to misconduct by the former members of the Management Board in their capacity as such.In the Company's opinion the statement of claim is groundless.
